By accessing or using BoostLocal.ai (the "Service"), operated by Mercatura Holdings LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

BoostLocal.ai is a marketing automation platform for local businesses. The Service includes AI-powered content creation, social media posting, review management, and related tools. We act on your behalf to publish content you approve to your connected accounts.

3. Account Registration

You must provide accurate and complete information when creating an account
You are responsible for maintaining the security of your account credentials
You must be at least 18 years old to use the Service
One person or entity may not maintain more than one account
You are responsible for all activity that occurs under your account

4. Subscriptions and Payments

The Service offers paid subscription plans billed monthly
Payments are processed securely through Stripe
Subscriptions automatically renew unless cancelled before the renewal date
You may cancel your subscription at any time from your account settings
Refunds are handled on a case-by-case basis; contact us for assistance
We reserve the right to change pricing with 30 days notice

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Publish misleading, defamatory, or fraudulent content
Infringe on the intellectual property rights of others
Distribute spam, malware, or harmful content
Attempt to gain unauthorized access to the Service or other accounts
Use the Service in ways that violate third-party platform terms (Google, Meta, etc.)

6. Content Ownership

You retain ownership of all content you upload or create through the Service. By using the Service, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Service. We do not claim ownership of your content.

7. AI-Generated Content

The Service uses artificial intelligence to generate captions, descriptions, and other text content. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and approving all content before it is published. We are not liable for any consequences of publishing AI-generated content.

8. Third-Party Integrations

The Service integrates with third-party platforms (Google, Meta, etc.). Your use of these integrations is also subject to the respective platform's terms of service. We are not responsible for changes to third-party APIs or policies that may affect Service functionality.

9. Limitation of Liability

To the maximum extent permitted by law, Mercatura Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

11. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Alameda County, California.
